By-Laws Article IV: Officers and Their Duties

Section 1. The Executive Officers of the Club shall be the President, Vice President, Secretary, Treasurer, and Historian.

Section 2. The duties of the officers shall be as follows:

  • a. President. The president shall preside at all meetings, appoint all standing committee chairs except nominating, and perform such other duties as pertain to the office. The president shall be an ex-officio member of all committees except the nominating committee.
  • b. Vice President. In the absence of the president, the vice president shall preside at meetings and shall perform the duties of that office.
  • c. Secretary. The secretary shall keep a full record of all Board of Directors meetings of the Woods Hole Woman’s Club, Inc.
    • d.Treasurer. The treasurer shall collect the dues and disburse monies under the direction of the Board of Directors. The treasurer shall prepare annual budgets for both the Charitable Trust account and the Operating account. The treasurer shall present a statement of accounts at the annual meeting and whenever requested to do so by the presiding officer.
  • e. Historian. The historian shall keep a record of the general meetings and activities of the Club. The historian shall present the year’s report at the annual meeting.

By-Laws Article V: Board of Directors and Committees

  • Section 1. The Board of Directors shall consist of the officers and chairmen of standing committees, and three members-at-large, one of whom shall be the immediate past president.
  • Section 2. The Board of Directors shall transact all routine business of the Club, fill vacancies in the elective offices, and make recommendations to the Club.
  • Section 3. The first meeting of the Board of Directors shall be called within 30 days of the annual meeting. Other meetings may be called upon request of the President, two members of the board, or five regular members.
  • Section 4. Seven members of the Executive Board shall constitute a quorum.
  • Section 5. A majority vote shall prevail in all matters except where otherwise specified in the bylaws.
  • Section 6. The Executive Board shall appoint a nominating committee of a minimum of three members to be announced by the December meeting. The chairman of the committee shall be the immediate past president.
  • Section 7. The standing committees may be: Activities, Finance, Friendship, Hospitality, Membership, Program, Publicity, Scholarship, Telephone, and Ways and Means.
